By creating an account or using the Platform, you ("User") declare that you have read, understood and agree to these Terms and to the Privacy Policy. If you use the Platform on behalf of a company, you declare that you have the authority to bind it to these Terms.

1. The service

Ocara is collaborative work management software (SaaS) that allows you to organize projects, tasks, communication and team alignment in a shared space. The features available may vary depending on the plan subscribed.

2. Registration and account

2.1. To use the Platform, the User must be at least 18 years old and provide truthful, complete and up-to-date information.

2.2. The User is responsible for safeguarding and keeping confidential their access credentials and for all activities carried out through their account. In the event of unauthorized use, the User must notify us immediately.

2.3. Organization accounts have one or more administrators, who are responsible for managing members, permissions and workspace data.

3. Plans, payment and cancellation

3.1. Prices, plans and payment methods are shown on the Platform, always in Brazilian reais (BRL), and may include a free trial period.

3.2. Subscriptions are billed on a recurring basis (monthly or annually), according to the plan chosen. Renewal is automatic unless canceled beforehand.

3.3. Cancellation may be made at any time through the account settings and takes effect at the end of the period already paid. There is no pro rata refund for periods already begun, except in the cases provided by law, including the right of withdrawal within 7 days of the initial purchase (Article 49 of the Consumer Protection Code, "Código de Defesa do Consumidor"), where applicable.

3.4. We may adjust prices upon at least 30 days' prior notice, taking effect from the following billing cycle.

3.5. Non-payment may result in suspension of access after notice and, if it persists, termination of the account.

3.6. The subscription fee may vary according to the number of billable users on the plan subscribed, including a minimum allowance of users and an additional fee per extra user. On the annual plan, an increase in the number of users during the term triggers an automatic prorated charge in the middle of the cycle, covering the remaining period; a reduction in the number of users does not generate any credit, discount or refund.

4. User Content

4.1. The User and their organization retain ownership of all content entered into the Platform (tasks, projects, comments, files — "User Content").

4.2. The User grants us a limited, non-exclusive and revocable license to host, process, display and transmit User Content, solely to the extent necessary to provide the service.

4.3. The User declares that they hold the necessary rights over the content they enter and is solely responsible for it.

5. Acceptable use

The User is prohibited from:

  • Using the Platform for unlawful purposes or in violation of these Terms;
  • Posting content that is unlawful, defamatory, discriminatory or that violates the rights of third parties;
  • Attempting to gain unauthorized access to third-party accounts, systems or data;
  • Reverse engineering, decompiling or copying the Platform, except where legally permitted;
  • Intentionally overloading the infrastructure or interfering with the operation of the service;
  • Reselling, sublicensing or making the Platform available to third parties without authorization;
  • Using bots, scrapers or other unauthorized automated means.

Failure to comply may result in suspension or termination of the account, without prejudice to any applicable legal measures.

6. Intellectual property

The Platform, including software, trademark, logo, visual identity, layout and documentation, is owned by Ocara or its licensors and is protected by intellectual property law. These Terms do not transfer to the User any intellectual property rights, only a limited, non-exclusive and non-transferable license of use for the duration of the subscription.

7. Privacy and data protection

The processing of personal data carried out by Ocara complies with Law No. 13,709/2018 (LGPD, the Brazilian General Data Protection Law) and is described in the Privacy Policy, which forms part of these Terms. With respect to User Content that contains personal data, the customer organization acts as controller and Ocara as processor, processing the data in accordance with the customer's instructions and to the extent necessary to provide the service.

8. Availability and support

8.1. We use commercially reasonable efforts to keep the Platform continuously available, although interruptions may occur due to scheduled maintenance (announced in advance whenever possible), updates or events beyond our control.

8.2. Support is provided through the channels indicated on the Platform, in Portuguese.

9. Limitation of liability

9.1. The Platform is provided "as is". To the maximum extent permitted by applicable law, Ocara is not liable for: (a) indirect damages, loss of profits or loss of opportunity; (b) content entered by Users; (c) unavailability caused by third parties, acts of God or force majeure.

9.2. Nothing in these Terms excludes or limits liabilities that cannot be excluded or limited by law, including those provided for in the Consumer Protection Code, where applicable.

9.3. The User is responsible for keeping their own copies of critical information. We provide data export tools according to the features of the plan subscribed.

10. Termination

10.1. The User may close their account at any time.

10.2. We may suspend or terminate accounts that violate these Terms, upon notice, except in serious cases that require immediate action.

10.3. After termination, data will be handled in accordance with the Privacy Policy, with a period of 30 days to export User Content, where technically feasible.

11. Changes to the Terms

We may change these Terms at any time. Material changes will be communicated at least 30 days in advance, by e-mail or notice on the Platform. Continued use after the new version takes effect constitutes acceptance. If the User does not agree, they may close their account before the changes take effect.

12. General provisions

12.1. These Terms constitute the entire agreement between the parties regarding use of the Platform, superseding any prior understandings. Customers with a specific (enterprise) agreement will be bound by the conditions set out in it in case of conflict.

12.2. The invalidity of any clause does not affect the remaining clauses.

12.3. Tolerance of any breach of any provision does not constitute a waiver.

13. Governing law and jurisdiction

These Terms are governed by the laws of the Federative Republic of Brazil. The courts of the judicial district of Belém/PA are elected as the venue to settle disputes, except that, in consumer relations, the venue is the courts of the consumer's place of residence.
